1. Acceptance of Terms
By accessing or using adsearndaily, including any member portal, advertiser portal, admin portal, website, tools, dashboards, calculators, communications features, support channels, content libraries, or related services (collectively, the "Platform"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, do not use the Platform.
2. Eligibility
You must be at least eighteen (18) years old, or the age of legal majority in your jurisdiction, whichever is greater, and legally capable of entering into binding agreements to use the Platform. By using the Platform, you represent and warrant that you meet these requirements.
3. Nature of the Platform
adsearndaily is a digital advertising, engagement, and member participation platform. The Platform may include, without limitation:
member dashboards and account management tools;
advertiser tools and campaign management;
ad viewing and banner check-in flows;
referral tracking and related participation features;
account balance, wallet, activation credit, released balance, and withdrawal interfaces;
calculators, educational content, support tools, and compliance tools.
adsearndaily does not guarantee income, profit, ad availability, referral activity, campaign performance, traffic, conversion rates, or financial outcomes.
4. Accounts and Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to provide accurate, current, and complete information and to update it as needed.
One Account Per Person. Unless adsearndaily expressly authorizes otherwise in writing, only one account is permitted per person. You may not create, control, or use multiple personal accounts, whether directly or indirectly, and you may not use false identities, substitute identities, or shared identities to access the Platform.
You may not:
share your credentials with unauthorized persons;
access accounts that do not belong to you;
attempt to bypass account restrictions, anti-abuse protections, or verification measures;
use bots, scripts, automation, spoofing, emulators, VPN abuse, multi-tab gaming methods, or similar methods to manipulate Platform activity.
We may suspend, restrict, or terminate accounts that violate these Terms or that present fraud, abuse, security, compliance, or operational concerns.
5. Member Accounts, Levels, and Participation
The Platform may include level-based participation rules, including activation requirements, subscription requirements, ad submission requirements, ad-view requirements, referral features, and withdrawal features.
Current platform participation rules, pricing, limits, thresholds, balances, and release mechanics are governed by the Platform as displayed at the time of use and may change from time to time.
Your use of any level, subaccount, feature, or release function is subject to eligibility, compliance, system status, and any applicable policies or disclosures.
6. No Guarantee of Earnings or Releases
Any examples, calculators, tables, projections, historical examples, sample earnings, release schedules, or illustrations shown on the Platform are for informational and educational purposes only. They are not guarantees, promises, or warranties of future results.
Any rewards, credits, releases, account balances, or withdrawal eligibility are subject to:
compliance with these Terms and related policies;
system rules and platform qualification criteria;
fraud, abuse, and security screening;
advertiser inventory, member activity, and operational constraints;
account standing, verification, and administrative review.
7. Wallet, Activation Credits, Released Balance, and Withdrawals
The Platform may display different balance categories, including but not limited to wallet balances, activation credits, and released balances. Each category may have different permitted uses, restrictions, and withdrawal eligibility.
By using the Platform, you agree that:
certain balances may be non-withdrawable;
certain balances may only be used for platform participation features;
withdrawal requests may be subject to fees, limits, minimums, maximums, review, approval, rejection, reversal, compliance checks, timing delays, or additional verification;
incorrect, suspicious, incomplete, or non-compliant requests may be delayed, rejected, reversed, or placed under review.
We reserve the right to adjust, hold, reverse, reject, or require additional review of balance activity or withdrawal requests where reasonably necessary for compliance, fraud prevention, error correction, platform integrity, or legal obligations.
8. Referrals and Pay-It-Forward Features
The Platform may offer referral and/or pay-it-forward features. Participation in any such feature must comply with all Platform rules, applicable law, and our Compliance Policy.
You may not misrepresent the Platform, make deceptive claims, use spam, or create artificial or manipulated referral activity.
9. Advertiser and Member Content
You are responsible for any content, links, ads, creatives, messages, documents, or materials you submit or use on the Platform. You represent and warrant that you have the rights necessary to use such content and that it does not violate law or any third-party rights.
All advertiser destinations and submitted links must be functional, accurate, safe, lawful, accessible, and easy to navigate. adsearndaily may reject, disable, or remove destinations that are broken, misleading, redirect improperly, hide material information, are under construction, are inaccessible, or otherwise create a poor or unsafe user experience.
We may reject, remove, disable, or restrict content or links that we determine, in our sole discretion, are unsafe, misleading, prohibited, non-compliant, broken, abusive, or inconsistent with Platform standards.
10. Prohibited Conduct
You may not:
engage in fraud, abuse, deception, or manipulation;
create or use more than one account per person, or use false, borrowed, or substitute identities;
attempt to game ad viewing, banner viewing, timing, verification, or release mechanics;
submit unlawful, infringing, defamatory, misleading, or harmful content;
interfere with or disrupt the Platform or its security features;
scrape, reverse engineer, or exploit the Platform except as permitted by law;
use the Platform in violation of law, regulation, tax obligations, sanctions rules, or payment-network rules.
11. Compliance, Verification, and Monitoring
We may require identity verification, address verification, tax information, wallet verification, payment verification, advertiser screening, or additional documentation at any time. We may monitor account activity, device patterns, IP behavior, withdrawal behavior, ad activity, referral activity, and other usage signals for compliance, fraud prevention, and operational integrity.
12. Suspension, Restriction, and Termination
We reserve the right to suspend, restrict, freeze, limit, or terminate access to the Platform or any feature, with or without notice, where reasonably necessary to:
investigate suspicious or prohibited activity;
protect users, advertisers, or the Platform;
comply with law, regulation, subpoena, or enforcement request;
correct technical, accounting, or administrative errors;
enforce these Terms or related policies.
13. Fees and Pricing
Any fees, subscriptions, activation costs, withdrawal fees, advertiser pricing, promotional pricing, or other charges will be shown on the Platform or otherwise disclosed at the time of purchase or use. We may update pricing from time to time.
14. Intellectual Property
All Platform software, branding, layouts, tools, content, graphics, features, functionality, and materials are owned by or licensed to adsearndaily and are protected by applicable intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works except as expressly permitted.
15. Disclaimers
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, adsearndaily DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
We do not warrant that the Platform will be uninterrupted, error-free, secure, or free from delays, bugs, downtime, abuse attempts, or third-party failures.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, adsearndaily AND ITS OWNERS, OFFICERS, EMPLOYEES, AFFILIATES, CONTRACTORS, LICENSORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR EXPECTED BENEFITS, ARISING OUT OF OR RELATED TO THE PLATFORM OR THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE THIRTY (30) DAYS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US$100.
17. Indemnification
You agree to defend, indemnify, and hold harmless adsearndaily and its affiliates, officers, employees, contractors, licensors, and agents from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to your use of the Platform, your content, your violations of these Terms, or your violations of law or third-party rights.
18. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the State of Alabama, without regard to conflict-of-law rules.
A. Informal Resolution First
Before filing any formal claim, you and adsearndaily agree to attempt to resolve the dispute informally by sending written notice of the dispute to support@adsearndaily.com or to our mailing address. The notice must describe the nature of the claim and the requested relief. Both parties agree to work in good faith to resolve the dispute informally for at least thirty (30) days before beginning arbitration or court proceedings, except where immediate injunctive relief is reasonably necessary.
B. Binding Arbitration
Except for the exclusions below, any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, your account, advertiser activity, balances, withdrawals, rewards, releases, communications, or the breach, termination, enforcement, interpretation, or validity of these Terms, shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") in accordance with its applicable consumer or commercial arbitration rules, as appropriate.
The arbitration shall be conducted in English. If an in-person hearing is required, it shall take place in Jefferson County, Alabama, unless the parties agree otherwise or applicable AAA rules require a different format. The arbitrator shall have exclusive authority to resolve any dispute regarding the scope, enforceability, or applicability of this arbitration agreement, except where applicable law provides otherwise.
C. Exceptions to Arbitration
Either party may bring an individual action in small claims court if the claim qualifies. Either party may also seek temporary or preliminary injunctive relief in a court of competent jurisdiction to protect intellectual property, confidential information, platform security, or to prevent fraud, abuse, or unauthorized access.
D. Individual-Only Proceedings; No Class Actions
To the maximum extent permitted by law, all disputes must be brought in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, representative, mass, or private attorney general action. The arbitrator may award relief only in favor of the individual party seeking relief and only to the extent necessary to resolve that party's individual claim.
E. Arbitration Fees and Rules
Payment of filing, administration, and arbitrator fees shall be governed by the AAA rules applicable to the claim. The arbitrator may award any relief available under applicable law, subject to these Terms.
F. Time Limit to Bring Claims
To the extent permitted by law, any claim arising out of or relating to the Platform or these Terms must be filed within one (1) year after the claim arose, or it is permanently barred.
G. Venue for Non-Arbitrable Matters
If a claim proceeds in court instead of arbitration, the parties agree to the exclusive jurisdiction and venue of the state or federal courts located in Jefferson County, Alabama, except where applicable law requires otherwise.
H. Severability
If any part of this arbitration section is found unenforceable, the remaining parts shall remain in effect to the fullest extent permitted by law, except that if the class-action waiver is found unenforceable for a particular claim, then that claim shall proceed in court and not in arbitration.
19. Changes to Terms
We may update these Terms from time to time. Updated Terms become effective when posted unless otherwise stated. Your continued use of the Platform after changes are posted constitutes acceptance of the updated Terms.
